Distant Sales Contract

ARTICLE 1: PARTIES

SELLER: TITLE: Locadent International ADDRESS: Locadent International Mansuroğlu, Manas Blv. No:10 D:B, 35535 Bayraklı, Izmir / Turkey

BUYER: The person who purchases from www.locadentinternational.com. Hereinafter referred to as BUYER.

ARTICLE 2: SCOPE OF THE AGREEMENT

The subject of this agreement is the determination of the rights and obligations of the parties in accordance with the provisions of the Law No. 6502 on the Protection of Consumers and the Regulation on Distance Contracts, regarding the sale and delivery of the services/products ordered electronically by the BUYER from the SELLER's website [www.locadentinternational.com], which have the qualifications mentioned in the contract and the sales price specified on the site. The BUYER accepts and declares that they have knowledge of all preliminary information regarding the basic characteristics of the services/products subject to sale, sales price, payment method, delivery conditions, and the right of withdrawal, confirms this information in electronic form, and then orders the service/product. The preliminary information and invoice on [www.locadentinternational.com] are integral parts of this agreement. As soon as the order is realized, the BUYER shall be deemed to have accepted all the terms of this agreement.

ARTICLE 3: PRODUCT/SERVICE INFORMATION

The SELLER offers dental services, health tourism packages, and related dental products for sale. The contracted service/product and its features, materials, treatment details, sales price, and delivery/performance conditions are given in the relevant service specifications section of the [www.locadentinternational.com] web page.

ARTICLE 4: GENERAL PROVISIONS

4.1. The parties to this contract are the BUYER and the SELLER, and all obligations and responsibilities regarding the performance of this contract belong to the parties. This agreement shall enter into force on the date of electronic approval by the BUYER. 4.2. The BUYER accepts, declares, and undertakes that they have read and understood all the information regarding the characteristics and conditions of sale of the service/product subject to the contract referred to in Article 3 and that they have given the necessary approval for the purchase in electronic form. 4.3. The SELLER is responsible for delivering the contracted product/service in a sound, complete manner, in accordance with the specifications specified in the order. 4.4. For physical products, the SELLER shall deliver the products subject to the contract to the BUYER or the person/organization at the address indicated by them, provided that it does not exceed the legal 30-day period. This period may be extended to a maximum of 10 days, provided that the BUYER has been notified in advance. For dental treatments and services, the timeline is determined by the specific appointment and treatment plan agreed upon by both parties. 4.5. If a physical product subject to the contract is to be delivered to another person/organization other than the BUYER, the SELLER cannot be held responsible if the designated person/organization refuses delivery. 4.6. Physical deliveries shall be made via a courier/cargo company to the address specified by the BUYER at the time of purchase. The SELLER shall be deemed to have fulfilled its performance fully and completely, even if the recipient is not present at the time of delivery. 4.7. If, for any reason, the product/service price is not paid or is canceled in the bank records, the SELLER shall be deemed free of the obligation to provide the product/service. 4.8. Expenses and other damages arising from the late receiving of the product by the BUYER, the waiting of the product at the cargo company, and/or the return of the cargo to the SELLER shall be borne by the BUYER. 4.9. The BUYER is obliged to open and check physical packages in front of the authorized courier upon receipt and to ensure that the product is not accepted if there is any defect. If the package is not accepted and a damage report is filed, the condition must be notified to the SELLER within 3 days. The SELLER shall ensure a new delivery as soon as possible. 4.10. Customs, insurance, and other possible expenses for international shipments or services are entirely borne by the BUYER unless otherwise explicitly stated on the website. 4.11. If the credit card of the BUYER is used unfairly or unlawfully by unauthorized persons after the provision of the service/product due to the BUYER’s defect, and if the related bank or financial institution does not pay the price to the SELLER, the BUYER shall compensate the SELLER within 3 (three) days. 4.12. The SELLER provides information on treatment care and product use at [www.locadentinternational.com]. 4.13. Regarding payments made via credit card, the provisions regarding interest and default interest rates shall be applied within the scope of the credit card agreement between the bank and the BUYER. 4.14. In cases where the BUYER exercises their right of withdrawal or if the ordered service/product cannot be supplied; the amount paid by the BUYER cannot be refunded in cash. The SELLER will issue the refund to the bank, and the bank will reflect the refund to the BUYER's card. 4.15. In order to process physical product returns in accordance with tax regulations, the relevant return sections of the invoice must be completely filled out and returned to the SELLER together with the product after signing.

ARTICLE 5: RIGHT OF WITHDRAWAL

5.1. For physical goods, the BUYER has the right to withdraw from the contract without any legal or criminal responsibility and without giving any reason within 14 (fourteen) days from the date of receiving the goods. In order to exercise the right of withdrawal, the SELLER must be notified via email or telephone within this period, and the product must be unused and resalable. If the right of withdrawal is exercised, the product price is returned to the BUYER within 14 days. Shipping expenses arising from the exercise of the right of withdrawal belong to the SELLER (for domestic shipments) unless otherwise stated. 5.2. Pursuant to the Regulation on Distance Contracts, the right of withdrawal cannot be exercised for services that have started to be performed with the approval of the consumer before the expiration of the right of withdrawal period, custom-made goods, personalized medical/dental appliances, or goods that may pose a health and hygiene risk once opened. 5.3. For international patients and clients, the BUYER is responsible for any customs duties or taxes. The BUYER has no right of withdrawal for products that are stuck in or rejected at customs due to non-payment of these fees.

ARTICLE 6: DEFAULT PROVISIONS

6.1. In the event that the parties fail to fulfill their obligations under this agreement, the relevant provisions of the Turkish Code of Obligations shall apply. 6.2. If the SELLER cannot perform the service or deliver the product within due time due to force majeure events (e.g., natural disasters, pandemic restrictions, interruption of transportation), the BUYER may choose to cancel the order or postpone the service/delivery until the preventive status is eliminated. In case the BUYER cancels the order under these conditions, the amount paid shall be refunded within 14 (fourteen) days.

ARTICLE 7: AUTHORIZED COURT

In case of disputes arising from this contract, the Consumer Arbitration Committees in the settlement of the BUYER or SELLER shall be authorized up to the value announced by the Ministry of Trade each year, and the Consumer Courts shall be authorized for disputes above this value.

This agreement shall enter into force on the date of electronic approval.

The English translation of the Agreement is for informational purposes only. In case of any dispute, the Turkish version of the contract shall prevail.
